Welcome to the ZONA Pro

1. Introduction

These Terms and Conditions (“Terms”) govern your access to and use of the ZONA Business Panel (“ZONA Pro”), a web-based CRM platform for venues and promoters participating in the ZONA ecosystem. By accessing or using ZONA Pro, you agree to comply with these Terms.

2. Services Provided

ZONA Pro offers tools and features that allow registered venues and promoters to manage their activities on the ZONA platform, including:

  1. Business Details Management: Add, edit, and manage your venue’s details, including descriptions, photos, and contact information.
  2. Event Management: Add, edit, and manage events hosted at your venue.
  3. Guest List Creation: Create and manage guest lists for your events, including approval or denial of guest requests and interaction with guests via chat.
  4. Ticket Sales: Sell and manage event tickets through the ZONA platform.
  5. Bottle Service Management: List and sell bottle service packages, including real-time updates on availability and “Last Call” special offers.
  6. Digital Wallet Offers: Create and manage offers redeemable through the ZONA Vault (digital wallet), such as free drinks or special promotions.
  7. Follower Insights: Track and review followers who have favorited your venue or saved your events for improved engagement.
  8. Analytics and Reporting: Access insights on user engagement, ticket sales, bottle service bookings, and offer redemptions.
3. Venue Responsibilities
  1. Accurate Information: Venues are responsible for ensuring all information about their business, events, offers, and services is accurate and up-to-date.
  2. Compliance with Local Laws: Venues must comply with all applicable laws, including age restrictions and alcohol service regulations.
  3. Professional Conduct: Venues must maintain a professional standard of conduct with users. Any inappropriate behavior or repeated user complaints may result in suspension or termination from ZONA Pro.
4. Fees and Payment Structure

 • Bottle Service: Users pay a 50% deposit at booking. ZØNA charges a 20% processing fee on the deposit.

• Last Call Bottle Service: Users pay a 50% deposit at booking. ZØNA charges a 20% processing fee on the deposit.

• Tickets: Users pay a 5% processing fee on ticket purchases.

• Guest List: Free to post, but subject to ZØNA admin approval.

• Vault Promotions: Free to post redeemable offers through the ZØNA Vault.

ZØNA reserves the right to adjust these fees with prior notice.

5. Bottle Service Terms for Venues

• Pricing & Availability: Venues are responsible for accurate pricing and live availability.

• Payment Collection: Users pay ZØNA a deposit (50%) at booking. The remaining balance (tax, gratuity, mixers, etc.) is collected by the venue at the event.

• Last Call Offers: Venues can offer discounted last-minute deals via the “Last Call” feature. Standard payment terms apply.

• No-Show Penalty: If a confirmed booking is not honored at the door, the user will receive a full refund. The venue will be charged a 20% penalty fee based on the original deposit.

• Cancellations: If a venue cannot honor a booking, it must notify ZØNA immediately. Repeated cancellations may result in review or removal.

6. Event Management and Third-Party Integrations

By participating in the ZØNA platform, you grant ZØNA permission to create, publish, edit, and update information related to your venue’s events, promotions, and offerings. This includes adding new events, modifying details, and removing outdated listings to maintain platform quality and consistency.

You also authorize ZØNA to request, access, and integrate your venue’s information from third-party platforms, including but not limited to reservation and ticketing systems such as SevenRooms and DICE, for the purposes of syncing and managing event and reservation data. You represent and warrant that you have the authority to grant this permission on behalf of the venue.

7. Cancellation and Refund Policy

• Venue-Initiated or Unhonored Bookings: If a venue cancels or fails to honor a bottle service reservation, ZØNA will issue a full refund to the user and charge the venue a 20% penalty fee.

• User-Initiated Refunds: Refunds are only issued if the venue cancels or cannot accommodate the booking.

• Tickets: Refunds for tickets are subject to each venue’s policy and must be disclosed at the time of listing.

• Dispute Resolution: Venues must cooperate with ZØNA in resolving user disputes.

8. Limitation of Liability

ZØNA is not liable for:

• Disputes between venues and users

• Pricing or availability errors

• Operational incidents at the venue

• Revenue loss due to cancellations or technical issues

• Indemnification

Venues agree to indemnify and hold harmless ZONA, its affiliates, and employees from any claims, damages, or expenses arising from the venue’s use of ZONA Pro, including but not limited to legal violations, inaccurate information, and user disputes.

9. Confidentiality and Platform Protection

By using ZØNA Pro, venues agree not to disclose, replicate, or share any proprietary features, tools, or data from the platform. This includes pricing strategies, analytics, CRM functions, and user data. Reverse engineering or copying any aspect of ZØNA may result in termination and legal action.

10. Exclusive Promotions (Optional)

Venues that offer exclusive guest lists, bottle service, or promotions only through ZØNA may receive benefits such as premium placement, marketing support, or reduced fees. These benefits are not guaranteed and require a separate written agreement.

11. Indemnification

Venues agree to indemnify and hold harmless ZØNA, its team, and affiliates from any claims or damages arising from the venue’s use of the platform, including but not limited to legal violations, user disputes, inaccurate listings, or misconduct.

12. Admin Rights

ZØNA reserves the right to reject, modify, or remove any listing, event, or guest list that does not meet quality standards or violates platform guidelines.

13. Changes to Terms

ZONA reserves the right to modify these Terms at any time. Updated Terms will be posted within ZONA Pro and will be effective immediately upon posting. Continued use of ZONA Pro after changes constitutes acceptance of the revised Terms.

14. Governing Law

These Terms shall be governed by and construed in accordance with the laws of Miami-Dade County, Florida.
